A Resolution has to be passed in order to appoint a Cost Accountant and it is mandatory.
If it is a Private Limited Company then resolution has to be passed.
If it is Public Limited Company (incase of manufacturing company) then the Cost Accountant has to be compulsorily appointed.
Check with the Articles of Association whether the resolution has to be passed in ordinary or special.
