A Pvt. Ltd. has two directors. It needs to pass a board resolution for choosing its signing authority (any one director).
1. Is resolution required to be drafted on company's letter head or can it be drafted on A4 size simple paper?
2. Can anyone please draft the wording of resolution? Is it required to be signed by both the directors?

For passing of this resoluiton you need to hold Board Meeting and yes Resolution should be on the letter head of the Company and signed by atleast one director.
