Hi friends...

I want a resolution for a trust for following matter..

The secretary who had the power to operate the bank a/c for the trust has expired. A resolution is required to delegate the authority to operate the bank a/c to the new secretary..

The Chairman of the meeting extended his condolence on the sad demise of their secretary, Mr. -----------. He further informed the trustees that the power to operate the bank account was with Mr. and now after him it is to be delegated to New Secretary, Mr. -------. The Board of trustee considered the same and passed the following resolution:

 

“Resolved that Mr. -----------, new secretary of the trust be and is hereby given the authority to operate the bank account of the trust having account no.----------------------, with --- bank, ------------- branch.”

 “RESOLVED THAT in suppression of all earlier resolutions passed at the Meetings of the Trust, Shri................, Chairman Directors / Officers / Employees of the Trust be and is hereby authorised for Bank operations with HDFC Bank, Civil Lines on behalf of the Trust.”

 

“RESOLVED FURTHER THAT in relation to the accounts of the Trust the said Banks be and is hereby authorised to honour all Cheques, Bill of Exchanges, Promissory Notes, or other orders for payment drawn, accepted or made and signed by on behalf of the Trust by Shri...................., Chairman and to act upon any instruments given relating to any transactions of the Trust.”

 

“RESOLVED FURTHER THAT a certified copy of this resolution be forwarded to the said Banks for their record.”
