Please suggest me about resolution for giving contract for construction of building on land.

No resolution is required for the matter, its a operational activity can be exercised by any WTD or Manager - operations.

Resolution will be required if any director is interested in contract.

Meeting of the board held to delegate relevant powers and authorities to the Director/Authorised Signatory, Shri .................. to complete relevant administrative, revenue and legal formalities for purchasing the said property admeasuring ........Hectares Khasra No.... , Tahsil and District ............

“Resolved that pursuant to Memorandum and Articles of Association, Company do acquire land / property for.....

“Resolved further that Shri ...........................is hereby authorised, whose specimen signature is as below, to complete all administrative revenue and legal formalities to purchase the aforesaid property in the name of the company. Aforesaid official is also authorised to effectuate all relevant requisitions to get the document of conveyance appropriately registered before the Registering Authority and to acquire a clear marketable title pertaining to the said property."

Can you suggest me the format of Board Resolution for constrution of buidling on land owned by director of Co. and building is to be constructed by the same co. in which he is director.
