Is the quorum fixed for board meeting fixed in section 287 minimum number, can the articles specify higher number for quorum? (Regarding quorum there is contradictory views in practice manual issued by ICAI, in Q. 13 it says, section 287 is final and articles cannot prescribe higher number, whereas in Q. 11 it says, Section 287 prescribes only minimum quorum and AOA can prescribe higher than what is mentioned in act.

Q.11 is correct. AOA may provide for larger quorum than specified under sec 287. Quorum cannot be decreased by the articles.
Articles can provide for a higher quorum but not below the statutory limits as specified in Section 287.
So can we conclude that ICAI practice manual has given contradictory answers!
Almost evryone agree that AOA can specify higher quorum.
