One Pvt Ltd Company has not appointed the existing auditor in the AGM. Now the company wants to appoint a new auditor and decided to hold EGM.
Please tell me the procedure to appoint the new auditor in the EGM
Whether Special resolution is required or not.

nthng to with a Special Resoln...if the co. has failed to appoint an auditor even in adjourned AGM, power will go to Central Govt. and co will have to inform to the govt. of the fact within 7 days of agm.
