SECONDLY FIRSTLY REGISTER THE AGREEMENT IN FORM 23 FOR REGISTRATION OF MD AGREEMENT

If there is no separate agreement, file form 23 attaching board resolution as per section 192.

PERMISSION OF CENTRAL GOVERNMENT IS ONLY REQUIRED IF APPOINTMENT IS NOT AS PER SCHEDULE XIII AND IF IT IS AS PER SCHEDULE XIII THEN NO NEED TO MENTION THAT .
 

CG approval is not required in case of unlisted companies even if the remuneration exceeds the limits specified in Schedule XIII
