Sec 75 is applicable invariably to a Pvt & Public Co, Whenever an allotment is made Form 2 has to be filed within 30 days with the MCA. This is applicable for the first allotment also when the company is newly formed.

where as my knowledge is concerned shares are first required to be issued to Subscriber to MoA and AoA and there is no need to File Form-2 when the co. is issuing the shares to subscribers of MOA
