Hi Pawan! Return of allotment is not required to file for shares allotted at the time of incorporation ,as subscriber to the memorandum of association becomes entiteled to and liable for shares as mentioned against respective names of the subscribers named in the memorandum .There is no allotment as such and the memorandum itself is a contract .since there is no allotment, it is not necessary to file return of allotment when shares are issued to subscribers to the memorandum of association.
