In case of a public company, there were 3 regular directors who appointed 3 more directors as additional directors on 24th Aug 2013. And the 3 regular directors resigned from directorship on 30th Aug, 2013 (wef 5th Sept, 2013.) On 30th aug 2013, notice calling AGM on 30th Sept, 2013 was issued. In the AGM the 3 additional directors were regularized.
Is this valid? Can the Board of a public company have only additional directors ? (the additional directors are anyhow regularized in the ensuing general meeting)
