DIR12 - prescrutiny says date of appointment should be greater than date of cessation

Hello everyone,

Five years back I was appointed as whole time director from 1 April 2015 to 31 March 2020

Now, I have been reappointed (continuation - no cessation). I am trying to fill DIR12 and putting date of appointment as 1 April 2020.

After filling form the "Check form" gives no error. And allows me to attach digital signature.

But when I click "Prescrutiny" - it gives this error:
Date of appointment of the signatory(s) shall be equal to or greater than the date of cessation. Kindly enter a valid date. Person is already appointed in the company under the same designation.

 

Company is small company with authorized capital 2 lakh and paid up capital 1 lakh.

This is continuation / reappointment of whole time director but there was no cessation.

Can anyone guide on how to resolve this? Any idea?

No need to file dir12 in case of reappointment. Just file mr-1 and mgt-14 of board resolution in case of public company.

You said public limited but is MR1 and MGT14 required for small private limited (1 lakh paid capital and 2 lakh authorized)

No MR-1 AND MGT -14 is required for kmp and kmp is required for public limited company

Thank you for your reply but isnt whole time director a KMP?

For private company no.
