CAN THE FINANCIAL STATEMENTS AND DIRECTORS REPORT BE SIGNED BY TWO DIRECTORS IN CASE THERE IS NO CHAIRMAN OF THE COMPANY AND THE MD IS UNABLE TO SIGN THE SAME.

yes its sign by two director is sufficient on financial statement, on on director report the person who authorised by board meeting will sign.

But sir Section 134 says that one of the directors signing should be the MD . In our case MD is not available to sign. Also no one is authorised to sign the Director report in the Board Meeting then who will sign the Board report. Even in that case MD is unable to sign the same.

ACCORDING TO SECTION 134(6) OF COMPANIES ACT 2013, DIRECTOR REPORT SHALL BE SIGNED BY THE CHAIRPERSON OF THE COMPANY IF AUTHORISED BY THE BOARD AND IF NOT AUTHORISED BY THE BOARD , THEN BY AT LEAST 2 DIRECTOR OUT OF WHICH , ONE SHOULD BE MANAGING DIRECTOR OR BY THE DIRECTOR IF THERE IS ONLY ONE DIRECTOR
And according to section 134(1) of companies act, financial statement shall be signed by chairperdon if authorised by the board or by 2 director out of which one should be managing director and by CEO if he is the director of the company, CFO AND COMPANY SECRETARY WHEREEVER THEY ARE APPOINTED

Section 134 (1) clearly states that either Chairperson or two Directors , out of which one should be Managing Director, if there is no chairperson then it has to be appointed by the Board of Directors of the Company
