Shareholding regarding director

01 July 2016 Dear Friends

Two company have conman directors and they are shareholders also. The shareholding of director in each company has been change.
Please tell me discloser u/s 184 of the Companies Act-2013 is required in this situation and what are the required compliance in this situation on the MCA Portal.

01 July 2016 yes, According to section 184(1), Every Director at the first board meeting in which he participates as Director and thereafter at the first meeting of the Board in every financial year or whenever there is change in disclosure already made , then at the first board meeting held after such change disclose his concern or intrest in any company or companies or body corporate or association of indivisual which shall include the shareholding in Form MBP 1. ( rEFER rULE 9 OF mEETING OF bOARD AND POWER RULES)

01 July 2016 Wheather such change can file the roc also. If yes then which form is required to file the ROC.




02 July 2016 in the case of private company, no such filing is required. however, in the case of public company, such filing is required by filing MGT-14

03 July 2016 Yes agrred with the member. In case of Private Company no need to file MGT 14 for change in such shareholding. But for public company , it has to file form mgt 14 within 30 days of such change.
