in sec 257 what does mean by words 'a person who is not a retiring director '?

...the meaning by the sentence itself implies that a 'person' meaning thereby an individual (No body corporate, association or Firm ) subject to free from any disqaualifications prescribed under section 274 and further subject to fulfilling the requirements as prescribed under section 264,
'retiring director' means a director retiring by rotation.
'retiring director' means a director retiring by rotation.
