To appoint the auditor in successive AGM of the Pvt Ltd Company the comapny should pass the Board resolution or the appointment of auditor should be considered in the AGM of the company.
If the auditor has been appointed after the date of AGM than what is the procedure?

Show a resolution in the Board Meeting calling AGM, a resolution for reappointment of Auditor and approve the same resolution in AGM Minutes.
Ask Auditor so appointed to file 23B with late fees.
