As per my understanding Interest is a more specific and direct word pertaining to the personal involvement of director whereas concern depict indirect association of director through his relatives.
However in case of indirect concern of director through his/her relatives, the same can also be referred as indirect interest as in that case concern and interest are interchangeable.
