02 September 2016 please clarify about this,I have resigned from my pvt ltd. company in November 2015 and my son appointed as new director in same company, do we required to file form MGT 14 to ROC, and in this case i failed to file form MGT-14 what will be the next procedure for us now..please help

02 September 2016 hello, As per sections 168 and 152 of the Companies Act, 2013 you need to do the following things:
1. Notice of resignation to the company by the director along with reason; (effective date of resignation will be date mention in the notice or notice received by company, whichever is letter )
2. file DIR-11 with ROC within 30 days of effective date of resignation along with reason of resignation in attachment; (by the director)
3. File ONLY ONE DIR-12 for resignation as well as appointment of director within 30 days of the same with ROC.
