Service tax applicability on financial institutes

I am not able to clear myself on provisions applicable to interest on loans and advances by financial institutions in relation to service tax.

Consolidation

Hii,

If there is a listed company "A Ltd." which has 10 subsidiaries. One subsy accounts could not be finalized due to some legal issues. That subsy is the holding of 4 companies. One company, out of four also has some legal issues. So as per AS-21 and listing agreement what should be the treatment. Plz reply on the following issues also.
1. Whether is it compulsory to consolidate all the subsy,
2. As an auditor whether AR need to be qualified or conso should not be prepared ?
plz reply and kindly give the reference also for your opinion.

Guidelines for bonus issue

Dear Sir,
Please guide me regarding guidelines of Bonus Issue in Companies Act for Unlisted Public Company.
The Company has issued Bonus Shares without having any clause in its Articles of Association in 2011.
Now as an auditor how can we guide the company giving reference of relevant section of act.
Also,does a co. can issue bonus shares without having a specific clause in AOA regarding this. Please help me out with the relevant provisions of the act.

Incorporation of company

Sir/Madam,

I had filed form 1 with the all mandatory attachments. Same was rejected due to some of the Object clauses are not allowed and MOA pages are not numbered and scanned copy submitted is not proper.


My query is that do I have to pay MOA AOA registration fees and form 1 filing fees again at the time of re submission of Form 1.

Maximum size of attachment is 2.6 MB for form 1 in my case there are many no of pages so scanned copy's size exceeds 2.6mb. Is there any solution to it??

Director liable to retire by rotation

There is a public company having 7 directors in which only 1/3 directors are liable to retire by rotation in the annual general meeting. No agm has been held since 2011. now what will be the position of the board of directors in the absence of annual general meeting. they are not going to hold AGM from back date. Kindly guide.
