COMPANY SECRETARY NOT COVERED AS SECTION 297 CLEARLY STATES "Board's sanction to be required for certain contracts in which particular directors are interested".
SO COMPANY SECRETARY ARE NOT COVERED BUT IT ALWAYS ADVISABLE FOR THE SAKE OF BETTER CORPORATE GOVERNANCE TO DISCLOSE SUCH INTEREST TO THE BOARD.
