For changing the registered office within the city only board resolution is required and form INC 22 is to be filed. is there any other requirement?

Right. No other reporting requirement. However, New office address shall be printed on the letterhead of the Company; It should be communicated to IT dept. (PAN/TAN) & other regulatory authorities like Shops & establishment etc. Board shall contain latest address of the Company. Also, invoices should be modified accordingly.

As proof of address can only a NOC from one of the group company to use the premises as registered office is enough and a utility bill in the name of the company giving the NOC. and NOC is to be in the form of Board Resolution. Advise
