Annual general merting - ordinary business (Corporate Law)

Dear Members,
As per the provisions of Companies Act 1956, one of the ordinary business in an Annual General Meeting is to appoint directors in place of those retiring or re-appoint directors.

Is it mandatory for private limited companies.?
Please Suggest.

Section 255 & 256 which deals with appointment and retirement of director at general meeting is applicable to public company and private company which is subsidiary of public company.

Agree with the above unless articles state otherwise, this particular rule is not applicable to Private Company unless it is a Subsidiary of Public Company.
