Accounts, AGM and ROC Filing

10 June 2011 A private ltd co is incorporated on 15-12-09. Its first accounts for the period ended 31-03-10 were audited and signed on 15-03-11. No any AGMs have been held till today.

Q1. Is there a delay in holding AGM and adopting the accounts?

Q2. Can the co. file its ROC Return now?

Q3. What are the consequences of above?

Q4. Are there any possible solutions for above matters? what should have been the ideal situation?

10 June 2011 Below are the reply to your query

1. yes there is delay as the last date for holding AGM was 31.12.2010. However if paper minutes are possible than you can comply

2. Yes COmpany can file return at current date with additional fees

3. If you hold AGM at current date there will be non compliance of section 166, 210 and other related section
