A small company has a Foreign Director, who stays abroad and participates in Board Meeting through video conferencing or other audio visual means. (Note: This looks OK).
It seems the said Foreign Director has not been attending to Company for more than two years.
Here, I need to know, should there be an ‘Alternate Director’ mandatorily for the said Foreign Director or ‘Alternate Director’ requirement is not a specific in the case of a small company.

Appointment of alternate director is not a requirement rather a facility to work on behalf of director who is not present in India for more than 3 months.
