Transfer of shares by one director to another director

There are three director in company with authorised capital of rs 1 lac (Shareholding A 24000, B52000,C24000) now A want to Transfer is Whole share to C and regine from directorship what is procedure for such transfer of share? Is required to intimed the ROC? if Yes which Form Should be applicable?

yes, transfer should be lodged with ROC. you can visit mca.gov.in for details and forms

For the change in directors form 32 need to be filed within 30 days.

For transfer of shares no form is required to be filed with ROC. Just execute transfer deed and transfer the shares in duly executed board meeting.

The ROC would be informed the same in Annual Return, no need to send any other intimation to ROC.

dear deepak,

i agree with ankur. but also check the provisions of the articles of the company. whether they have any restriction on transfer, minimum no. of directors, etc.
