hi all..

DEAR EXPERTS WOULD LIKE TO ASK YOU HOW CAN A MANAGING DIRECTOR BE REAPPONTED- WHAT ARE THE FORMS REQUIRED TO BE FILED AND WHETHER ROC NEEDS TO BE INFORMED.

MY SECOND QUESTION IS WHETHER ROC NEEDS TO BE INFORMED ON EVERY BUSINESS ACTIVITY OF THE COMPANY.WHAT ARE THE CASES OR EVENTS WHEREIN ROC NEEDS TO BE INFORMED.

In case of reappointment of Managing Director form 25C and form 23 are reqruied to be filed with ROC.

Mr. Tanveer,

There is no such requirement of giving intimation to ROC about every business activity. the forms which needs to be filed are generally mentioned in the relevant sections. Apart from that for members resolutions you can go through Section 192 of the Act.

THANKS PRITI , BUT THEN I AM ALSO AWARE OF THE FACT THAT ROC'S SPPROVAL IS NOT REQUIRED FOR EVERY BUSINESS ACTIVITY . WHAT I WANTED TO NOW IS WHAT ALL THOSE TRANSACTIONS AND BUSINESS ACTIVIIES ARE WHERE HIS CONSENT IS NOT REQUIRED.
