Dir - 12 attachements in case of a private limited company ?

Hi Friends / Experts

We are having a Private Limited Company; Now were going in for change in designation of Directors; We are Converting an Existing Managing Director to an Whole - Time - Director and an Existing Director to an Managing Director. "There is No Fresh or Additional Appointment". We are merely going in for change of designation. We have effecting the above through an Board Resolution.

Kindly Guide us on what attachments to be added to DIR - 12 ? and is there any other procedure to be followed ?

For Change in Designation, no mandatory attachments are requried.

However, you may attach Board Resolution.

Thanks for your input; i just have the following query ?

Dir - 8 is necessary for fresh appointment of Directors / Additional Directors. Is it required for mere changing of designation of existing Directors ?

Dear Sir

Thanks for Clarifying; But we are being advised that it would be desirable to attach along with the resolution the following:

1. MBP -1 and DIR - 8 of Directors

2. DIR -2 and Id Proof and Address Proof of Directors.

3. Consent Letters.

Kindly advise whether all these are necessary sir. Thanks in advance

DIR-8 is not required. It is requried only when a company is appointing or reappointing a Director. Here in your case, MD/WTD will remain a Director. Their term is not expiring.

I have mentioned that for Change in Designation, the attachments are not mandatory. However, it is upto you, if you would like to attach any documents or not.
