Corporate governance refers to operational practices, management protocols, and other governing rules or principles by which a company is controlled. It describes the structure in place that governs the relationships and behavior of the various stakeholders in an organization, such as shareholders, lenders, management and the board of directors. An effective system of corporate governance should increase an organization’s transparency and accountability both internally and externally.
