Dear All,

 

This is to inform you all that yesterday Companies Bill, 2011 has been introduced in parliament.

 

As per section/clause 203 of Companies Bill, 2011 the Company Secretaries are recognized as whole-time key managerial personnel. Also Companies Bill, 2011 has made the appointment of Company Secretary mandatory.

 

Please check below the text of section/clause 203 of Companies Bill, 2011:

 

203. (1) Every company belonging to such class or classes of companies as may be prescribed shall have the following whole-time key managerial personnel,—

 

  1. managing director, or Chief Executive Officer or manager and in their absence, a whole-time director; and

 

  1. company secretary:

 

Provided that unless the articles of such a company provide otherwise, an individual shall not be the chairperson of the company as well as the managing director or Chief Executive Officer of the company at the same time.

Dear RG the words used here in this clause is company belonging to such class or classes of companies as may be prescribed , it means the govt. will again set limit of paid-up capital for the appointment of KMP, the thing to be seen is that how much limit will they prescribe.

Absolutely right.

Keeping in view the safeguards provided to company secretaries in practice in Bill 2011…we may expect favorable limits for company secretaries in employment too.

Thanks for the bringing to our notice ....

Its a great encourgement for all cs for being recognised as KMP.But wilt this there shall be greater responsibilty and accountability. With great power comes great responsibility.

Now me curious to know which classes of Company are required to recruit the CS.
