Can shares of private limited company be transferred at a price below than the face value of share.

Value of the company is important. Valuation of share should be done under globally accepted methods based on that a certificate may be obtained from a Chartered Accountant. If the company is a loss making concern then you can as well sell it a price lower than the face value.
