Sudden auditors resignation

Auditor has already signed the Financial Statement for Fy14-15 in the date of May 2015 and he wants to resigns from 01.06.2015. 

Now, my question is since he is resigning from the Company what are the complete formalities for us being a small private limited co. and can we appoint other Auditors in upcoming AGM to be held in September 2015 or we have to appoint an auditor for casual vacancy by calling an EGM.

ok. As per section 139(8) casual vacancy as result of resignation has to be filled up within 30 days further the same has to be also approved by shareholders. so as per my understanding the approval can be taken in agm also.

But, in my mind lots of question is rising:

1-Complete Formalities/Procedures (for company) for auditors resignation in these circumstances 

2-is it compulsory to appoint a new auditor for casual vacancy by calling EGM or can we appoint new auditor in upcoming AGM

With due respect Anjali Ji I think for appointment of a new auditor to fill casual vanacy EGM should be held.

my view is totally different as the auditor was appointed for 2014-2015 in respect of which accounts are already signed and audited now if he does not wish continue then show is AGM that previous auditors are unwilling to continue so new auditors are recommended to be appointed. So ther is no need of filling resignation of previous auditor. As previous was appointed for 5 years subject to the ratification at every AGM so there is no ratification in this AGM.

This is my opinion kindly update me if i am wrong.
