Co. A.G.M. date is 30.09.2009

we have mentioned in form 23ac for board report signing date as 01.09.2009.

Date of board of director meeting in which board report u/s 217 was approved is 01.09.2009.

and signing of baord report by director date mentioned as 01.09.2009.

director report attached with form no. 23ac in which we have mentioned date as 30.09.2009 in the end of director report. assuming that since agm is held on 30.09.2009. so director report will be submitted after share holder approval.

Is it wrong .

yes it is wrong , as per company act, notice and director report are approved in board meeting by the director on the same date i.e 01.09.2009.

director report never submite after share holder approval. AGM always held after Board of directer meeting .

pls explain in detail ur problem abt form 23ac..

on director report first approval of director is mandatory.

Also that the date of directors' report should not be before the date of adoption of accounts.

Dear Pawan,

Kindly appreciate as mentioned by you date of board of director meeting in which board report u/s 217 was approved is 01.09.2009. So this date should be mentioned in the end of director report for all the purposes.

Kindly understand the funda to avoid any misconception. As date of adoption of board report is 01.09.2009 hence this date should be considered as the date of directors’ report for all purposes.

So what you have done is not correct. Revert if there is any doubt.
