Share transfer of pvt company

Dear  Vaibhav,

1.) FOR TRANSFER OF SHARES U NEED NOT FILE ANY FORMS WITH ROC.

2.) NO AMENDMENT IS REQUIRED.

3.) JUS PRODUCE THE SHARE TRANSFER DEED EXECUTED IN FORM 7B ALONG WITH THE REGISTER OF MEMBERS AFTER GIVING DUE EFFECT FOR THE SHARE TRANSFER EXECUTED.

1) which form i need to file with ROC?  : NO FILING WITH ROC

2) Do i need to amend my MOA & AOA to insert new shareholders details? : NOTHING TO BE DONE

3) In future if some one ask me to prove that the shares are actually been transfered then how can i prove them ? : FILE DETAILS OF TRANSFER IN ANNUAL RETURN AND RECORD THE SAME IN REGISTER OF SHARE TRANSFER

Hi Neha,

I agree with u. But wat if some one ask me to prove that the shares are actually been transfered, before filing the annual returns.

You can prove shares have actually been transfered, before filing the annual returns by showing duly executed transfer deed Form 7B received by the company from transferee and CTC of board meeting in which transfer has been approved.

Register of share transfer and register of members in which entry for share transfer has been done will also exhibit current position.
