Hi Members..

I want to know whether it is required to file form 23 for registration of resolution for appointment of Managing Director in a Public Limited Company. As I am going to file form 25C for the same and it requires SRN of form 23. The company has passed the BOD resolution and called and approved the appointment in the general meeting.

Filing Form 23 is compulsory only in case if a special resolution is passed

File form 23 within 30 Days of Passing Resolution for appointment even if ordinary resolution is passed (Check Section 192) for more.

Then File Form 32 within 30 days event

Then Form 25C within 90 days of event

SECTION 192. Registration of certain resolutions and agreements. —

(1) A copy of every resolution ¹ [(together with a copy of the statement of material facts annexed under section 173 to the notice of the meeting in which such resolution has been passed)] or agreement to which this section applies shall, within ² [thirty] days after the passing or making thereof, be printed or typewritten and duly certified under the signature of an officer of the company and filed with the Registrar who shall record the same.
