Hi,

Our company at Mumabi ROC wants to change Reg office within same state same ROC but outside city limits.Please guide the proceedures step by step.

Dear SEBI,

1. Pass a special resolution in the general meeting of the company.

2. Submit e-form 23 to the ROC within 30 days of passing the resolution. Attach a copy of the special resolution with the corresponding explanatory statement with the form. 

3. A notice of the change is required to be given to the Registrar in e-form 18 within 30 days of such change. This does not involve alteration of memorandum.

This is for ROC as per comopany law I think.Please advice any formality with RBI also there like waiting period or intimation etc .

Mr. Seby, there are no such specified formality to be complied with RBI in respective of change of ROC,

Inform the RBI, change of Registered office of the company by approved mode.

Thanks.Hope approved mode is like a letter from director with copy of resolutions etc.?
