Re constitution of audit committee-casual vacancy

Should the Audit Committee of  an unlisted public Company be reconstituted while appointing a director in casual vacancy? The person in whose place the incumbent will be appointed was a member of the Audit Committe. Currently the committee comprises of 3 directors, the minimum number of directors required to be present under the Act.
