Hi Pramod,
According to Rule 3(1) of the companies(incorporation) Rules 2014 provides that only a natural person who is an indian citizen and resident in india eligible to incorporate OPC.
As per your Question A PIO card holder cannot form the OPC.
A person should be the resident and citizen of india.

Thanks Rajesh for the information. But I have a query.
if the PIO holder stays in India for more than 182 days will he be treated as resident.

If you stay in India for at least 182 days during a PY, you are a resident.
