Noc for use of name of proprietorship

One of my client wants to incorporate a Private Limited Company in India.

He wants to use the name of his own existing Proprietorship which will exist even after incorporation of the Company.

What should we do? Is it necessary to submit a NOC of the Proprietor?

Kindly provide the format of NOC if any.

Dear Vinita,

I don’t think the NOC would be required since, the name of the proprietorship concern is not required to be registered anywhere except if it is registered as a trademark.

However, if you still want to give an NOC, you can make one and submit..just to be on the safer side. If you want, I can mail you the format

Please find the NOC filed by me at time of incorporating a company whose name resemble with partnership firm. You may change accordingly if the same is for any prop. firm

NO OBJECTION CERTIFICATE

We, Deepak Bhatia, Monica Bhatia, Partners of a Partnership Firm “……………….. EDUCATION SYSTEM”, do hereby declare that we shall have not any objection, if Mr. Deepak Bhatia and Mrs. Monica Bhatia, apply for the name “…………………………………………………. PRIVATE LIMITED.” And incorporate the company with same name.
