Method of valuation for transfer of shares in private co.

The transfer of shares will be done in case of private co. as mentioned in the AOA.

The valuation can be done by directors or Auditors of the Company.

Can anyone please tell me that if the valuation of shares is to be done by Auditors, what method they will use for valuation of shares..
