Resignition and appointment of new director

Hii all,

I need an urgent help. My problem is as follows.

in a company there are two directors only.

Both the directors do not have DIN number

one of the directors want to resign by 31st march

One director needs to be appointed. We have got the provisional din for the new director

Now how can I proceed?

Further I want to know if one director is having one provisional din approved, can he apply his own DSC for his DIN 3?

Please help

The Director Which want to resign can not do so until and unless, atleast one of the remaining Directors has got a valid DIN (din-3) . However the provisional DIN-1 can be a valid DIN only if it is approved by MCA. Therefore first of all a DIN should be approved and then the proposed director can be resigned.

My dad is a Director with a group company of a big corporate. He has resigned from the position, a month ago. However, the processing is not being done on account of DIN registration which is now being asked for, but has been conveniently kept on the back-burner until now. What is the way out ?
