Managing director resignation has not been filed with roc

Hi,

In a private limited company managing director and whole time director resigned in the year 2010. The continuing directors failed to file form 32 to ROC. In MCA portal it still shows MD name .The statuory complainces with ROC was not filed from 2006 till 2010 and the other 2 directors agreed and promised that they will do the necessary and releived the md and the whole time director in 2010. Now how to strike off the names of MD and whole time director from the MCA portal. Kindly suggest the step involved. Also the 2 directors who conituned are NRI's one is from indian origin who has dual citizenship and other is an American.

check the status of your company whether it is active or dormant....if it is in dormant then file required forms with the department to bring it into active

File Investor Complaint form with Roc Attaching the Resignation Letter of the Directors.

u shold me first check what is positon of company in mca portal.thn u should make written represation of both MD who resignation and file to mca portal ao make any investors complaint if they not ready for any written letter.

Dear experts,

Resignation of managing director or whole time director requires that the the same has been accepted by the board of directors in the board meeting convened with proper quorum. If the resignation is not accepted by the board members and the company the resignation would lose its significance.
