Failed to file inc 22 (over 2 years)

Company is incorporated in 2016. But INC 22 has not been filed so far. Now for FIling annual Return INC 22 is compulsary. And to file INC 22 they asking penalty of 70000 INR

Filing of INC.22 with late fee is mandatory. However, it could be Rs.7,000 and not Rs.70,000.

what about the penalty of section 12(8)

Penalty may be levied by ROC after filing the form and issuing show cause notice.

I already paid 3600 penalty and filed the return... But they are saying that form cannot be accepted refer section 12(8)

Additional fee for late filing and penalty are two different issues. You are liable to pay both. After filing the form with late fee, ROC may issue show cause notice to you and ask for payment of penalty. Refer Companies (Adjudication of Penalties) Rules 2014 for details.
