Can anyone help me understand What are the exemptions enjoyed by a private limited company with reference to Directors Remuneration under the Companies Act 2013?

Pvt Companies are not governed Sec 197 provided the profit are sufficient to meet the Diectors Remunerations. If the profit is not sufficient or no profit then they have to follow the Sec 197 of CA Act 2013. This is the prvileges can enjoy by a pvt company.
