Quick revision for Annual General Meeting

 

As per Sec. 166, every company must hold AGM in addition to any other meetings at stipulated interval specifying the meeting as such in the notice calling the meeting.

The AGM should must be held with in 18 months of incorporation. And this can only be extended by  the registrar on special reason for maximum 3 months.   

 

Interval between the two AGMs

1.        For First AGM

·         Within 18 months from the date of incorporation.

2.        For Subsequent AGMs [Sec. 210 should be read with sec. 166(1)]

·         The meeting must be held in each year

·         It must not held later than 15 months from the date of previous AGM

·         It must not held later than 6 months from the date of Balance Sheet date.

3. The date of the First AGM must be with in 9 months from the date of financial year for which P&L A/c has been made.

If a company is incorporated on 1st july 2009, then when should be the its 1st Annual General Meeting.??????????

DATE OF INC. OF COMPANY IS 23.08.2010 , SO IT CAN HELD ITS 1ST AGM ON 10 FEB 2012. WHAT WILL BE THE DATE OF 2ND AGM FOR THE COMPANY? PLZ REPLY

In this case 30th September is due date.  Suppose if previous AGM held in June 2,  2009 what is the due date for holding next AGM ie., 2nd September 2010  or 30th September, 2010. Please explain.

In your case please find below 3 dates read with section 166 and 210. As per DCA Circular more stringent date would be considered as due date:

1. September 01, 2010 (Section 166---15 months between 2 AGMs)

2. September 30, 2010 (Section 210---AGM within 6 months from the end of FY)

3. December 31, 2010 (Section 166---1 AGM in each Calender year)
 

In the above 3 dates date of September 01, 2010 is the most stringent date. If you hold ur AGM on or before September 01, 2010, you'll be able to comply section 166 and 210 simultaneously.

Dear Ankur sir, Please advice. As per Section 166 , the meeting must be held within maximum gap of 15 Months. If the last AGM was held on June 1, 2010, the subsiquent AGM must be held on Aug. 30, 200 as per 166. So will there be requirement of approval of ROC or CLB to hold the meeting with extension of 3 months after 12 months gap between two meetings.

No.

You don’t need any extension if you hold your AGM up to August 30, 2011 bcoz this is the due date for you u/s 166+210.

However if you want to hold your AGM beyond August 30, 2011, then you have to go for AGM date extension from ROC u/s 166.
