Dear Members

Kindly inform why there is a requirement of paying estamping fees for fiing Form 5 with ROC.

it is state stamp duty... which is payable on alteration of authorised capital... so form5 shud b stampted with adequate amount of duty at the rate prescribed in that state, for increased amount of capital...

two alternate mode u hv to pay this :

1. manually pay & submit hardcopy of stamped form5 with attachments.

2. pay online in MCA Portal

Thankyou for your reply. Whenever there is an increase in authorised share capital we use to file Form 5 and Form 23 (for alteration to memorandum & articles) with ROc. As regards Form 5 we use to pay the fees to the extent the capital has been increased. As regards Form 23 requisite filing fees will be paid. Please clarify whether the amount payable towards Estamping is over and above the fees payable to ROC for filing Form 5.

Dear Murlidharan ,

ROC fee is filing fees which is different from Stamp duty  ,ROC fees similar all over India , however stamp duty differes in different state as per state stamp duty Act.

I Agree wid Gargi.

ROC Form Filing fee is central duty which is similar for all over India.

However, stamp duty is an state duty which is as per state rate of stamp duty n this is over & above the above e-filing fee.

Hi

in form 1 you have to mention that you wil pay stamp duty electronically.

Challan will be generated for that along with incorporation charges challan.

Dear Mr. Murlidharan

 

If your company increased Authorized Share Capital and in your State the stamp duty is livable in that case you will pay stamp duty @ as applicable on only increased authorized capital.

In case of ROC fee it is mandatory to pay on increased Capital.

Dear Friend

 

Payment of stamp duty at the time of incorporation is made simplified by MCA through given an option to pay electronically by agreeing with Form 1 filing. You can pay stamp duty along with ROC challan.
