Dear Fahim,
Since a company is a seperate legal entity and the director is appointed by the company by way of resolution. In my opinion a director cannot give power of attorney to act on his behalf. However, a company in a board meeting by way of resolution could delegate some powers to the employee. But I believe any POA for acting on behalf of a director would not have any legal sanctity.
