Hi,

We are two partners as director of pvt. ltd.firm. I have DIN and another one has DIN + DSC. Now he want to exit and transfer his share to me. Due to unavailability of another director he is ready to stay till i find a new director (as minimum 2 director are required for pvt. ltd. firm). In such case I need to have all rights to make decisions and sign related documents.

Please help me regarding following points:

1) Do i need to have DSC for such situation.

2)How much time it takes to get DSC and register it on MCA portal.

3) What is the process and time required to change share distribution. can we go for 100% share with me and 0% for another one.

With reference to your queries, I would suggest you to hire the services of a Practicing Company Secretary.

It helps you in speedily closure of all the open points alongwith appropriate consultancy in this regard.

Yes. I have hired one. But their is not surity of dealines from his side . I just need these details to schedule my further deadlines.

Hi Anjani,

It is better to acquire a DSC as it will help you in future for all filings....Within 2-3 days you can get a DSC....regiatration on MCA is also an immediate process......

A private limited Company has to have min 2 shareholders...however if yu want to hold 100%, you can appoint a nominee shareholder on your behalf....such thing will require further filing of info and forms with ROC....share transfer is also not a lengthy process.....
