Conversion of preference shares to equity shares, pls help

Friends,

We have issued Fully Convertible Preference Shares few years ago. As per the terms and conditions of issue, the shares are liable for conversion on today's date.

We would like to know the procedure for the same giving reference to the related sections of the companies act 1956

What if all my authorized equity capital is already subscribed?

If your authorized capital is fully subscribed, then the company has to pass a special Resolution in the general meeting to increase the limit of the Authorized capital & the altered copies of the Memorandum of Association are required to submitted to the ROC.
