Dear Komal,

No, CS is not required to sign the board minutes at all. The Chairman of the Board meeting or the directors who is authorised to sign the board minutes can do so.

Any other views highly appreciated

Dear Komal,

Minutes of the meeting of the Board of Directors can be signed either by the chairman of the same meeting or by the chairman of the next meeting of the Board of Directors. Further each page is required to be initialled or signed and the last page must be signed and dated. For further clarification read section 193 of the Companies Act, 1956.

Regards
