can auditor be appointed through circular resolution by board.

Board has power to appoint first auditor or to fill casual vacancy. It can be done by circulation.
Yes I am aware of that. But we are appointing new auditors in place of retiring firm by rotation of 5 years. And reappointment of existing one. Still it is valid?
And as per companies(meetings of board and it's powers) rules8 2014 auditor can be appointed at a duly convened meeting only.
