Appointment of director

2 Directors got appointed as additional director on 15th may 2014 in a private Company,now they Can sign the balance sheet or they are needed to be regularised first to sign the balance sheet??if so then at EGM??? Or what are other way out??There are only above 2 directors in the Company.

What are the provisions if the additional director is to be regularised at AGM??? Does he need to pay rs 100000, 14 days before the meeting??DIR 12 needed to be filed for his regularisation??

Hi Gaurav

Give in AGM Notice as Special Business with explanatory Statement u/s 102.

Yes he needs to pay Rs. 100000/-.

Dir-12 needs to be filed for change in designation.

Why is additional director require to pay Rs.1,00,000/-?

In form DIR 12 for appointment of Additional Director, letter of appointment is required. Can anyone give me the proforma of letter of appointment of additional director?

Whats the procedure for that payment, can it be made through cheque?? and it will be refunded back to directors once appointed??

Not required to pay 1 lack rs. Pvt. Ltd. Exempted as per sec. 157 1 lack have to paid by public ltd. Co. As per sec 160. Director aappointed as per artical.

Pvt Companies are not exempted under Section 160. The director or any member proposing his appointment needs to pay the sum of Rs. 1Lakh.
